Richard C. Paice is the Vice President, General Counsel & Chief Compliance Officer at Sojitz Corporation of America (SCA), a New York City based trading company and a wholly-owned subsidiary of Sojitz Corporation, a public company listed on the Tokyo Stock Exchange. In this role, Mr. Paice is responsible for designing and implementing comprehensive compliance and ethics programs, including compliance training and monitoring programs, at SCA, which has 17 office locations throughout the Americas region. Prior to joining SCA in June of 2005, Mr. Paice was in private practice for ten years with Kelley Drye & Warren LLP (New York), Anderson Mōri & Tomotsune (Tokyo) and Kim & Chang (Seoul). In private practice, Mr. Paice spent the majority of his time representing acquirors, targets, controlling stakeholders, leveraged buyout organizers and management teams, as well as various financing sources, in connection with domestic and cross-border acquisitions and dispositions of companies, subsidiaries and divisions, as well as leveraged buyout transactions, going-private transactions and joint ventures. Mr. Paice is admitted to practice in New York. Mr. Paice is a member of the New York State Bar Association, Association of Corporate Counsel and Society of Corporate Compliance and Ethics. Mr. Paice received his B.A. and M.A. degrees in Japanese language and political economics from the University of Pennsylvania. He earned his J.D. from the Syracuse University College of Law.
